A private company requires the members (shareholders) to invest in the capital in exchange for the shares of the company, and the members of the company’s legal liability is limited to the unpaid amount of their shareholdings. It is suitable for businesses aiming at profit making.

A company limited by guarantee does not have any share capital, which makes it suitable for non-profit organisations. The company does not have shareholders but is owned by guarantee members. The liability of the members is limited to the amount they undertake to contribute in case of the company being wound up.

A Hong Kong company must have a local secretary and a local registered office which must have a physical address and not just a Post Office box.

A private company must have at least one director and one shareholder. Corporate directors are permitted for companies that are not subsidiaries of public listed corporations. A private company is required to have at least one director who is a natural person.

A company must have a minimum share capital of HK$1.00 issued for fully paid up share. However, there is no restriction on the maximum issued and paid up share capital.

Details of the company’s directors, shareholders and secretary must be filed with the Companies Registry and are shown on public record. Each year the company must file an Annual Return with the Companies Registry. Penalties will be imposed for late filings.

All companies must obtain a Business Registration Certificate from the IRD and renew it every year. Profits tax return is required to be submitted to the IRD annually together with the audited financial statements and independent auditor’s report for tax assessment.
